Payment & Connected Account Terms
Pilot Version 1.1.0
These terms apply when your Organization connects Stripe to the Service to take payments from your customers. They are part of the Pilot Terms of Service. In these terms, "we" and "us" mean Cyriac Labs, LLC, which operates Scene Lead. You will be asked to accept them when you connect Stripe; if your Organization accepted an earlier version, you will be asked to accept this one before you next make a change after it is published. They apply to your Organization from the moment you accept them.
What changed from Pilot Version 1.0.0. Version 1.0.0 said that no platform fee is charged. This version introduces a platform fee of 2% on payments your customers make through the Service's Stripe Connect checkout (section 3). Because that is a material change, your Organization is asked to accept this version before it can connect Stripe.
1. Your payment account is yours
- Payments from your customers are processed on your own Stripe account, connected to the Service through Stripe Connect. You complete Stripe's onboarding with Stripe directly. You are the merchant of record for your sales, and we do not hold your funds. - Your agreement with Stripe governs processing, payouts, reserves, account standing and Stripe's own fees. We are not a party to that agreement.
2. Your responsibilities for your sales
- Your offerings: what you sell, its price, your policies and your obligations to your customers are yours, including any disclosures the law requires you to give them. - Refunds: your refund policy, your decision, your funds. Section 3 says how a refund affects the platform fee. - Chargebacks and disputes: yours to respond to and fund, under Stripe's rules. - Taxes: collecting and remitting any tax on your sales is your responsibility. Stripe's tax reporting applies to your account under its own rules.
3. The platform fee
- 2% of each successful payment. On each successful payment your customers make through the Service's Stripe Connect checkout (for example a class or program registration, or an event ticket), we receive a platform fee of 2% of the amount charged — the amount after any discount. The fee is rounded to the nearest cent (half a cent rounds up) and is always less than the payment. A fee that rounds to zero is not charged. - How it is collected. Stripe deducts the fee from that payment as an application fee and pays it to us; the rest of the payment, less Stripe's own fees, goes to your Stripe account. The fee comes out of your proceeds: it is not added to the price your customer pays. - Stripe's fees are separate. Stripe charges you its own processing fees under your agreement with Stripe. They are not part of the platform fee, and we receive none of them. - The rate is fixed per payment. The rate applied to a payment is recorded with that payment and does not change afterwards. - What the fee does not apply to. The platform fee applies only to payments made through the Service's Stripe Connect checkout. It does not apply to payments you record in the Service that were taken outside it (for example cash, check, bank transfer or another ticketing service), to registrations that are free, waived or complimentary, to places paid for with credits or a pass, or to charges you create yourself in your Stripe dashboard. - Refunds. When you refund a payment through the Service, in full or in part, the platform fee on the refunded portion is returned to you with the refund: all of it for a full refund, and a proportional share, as Stripe calculates it, for a partial refund. A refund you issue directly in your Stripe dashboard does not return any of the platform fee. - Paying twice. If a customer completes checkout twice for the same order, each payment carries its own platform fee. Only the first payment can be refunded through the Service; refunding the other in your Stripe dashboard does not return its platform fee. - Disputes. If a customer disputes a payment with their bank (a chargeback), the platform fee on that payment is not returned, whatever the outcome of the dispute. The disputed amount and Stripe's dispute fees are settled between you and Stripe under your agreement with Stripe. A payment cannot be refunded through the Service while a dispute on it is open, or after the dispute is lost. - Changes. Any change to the platform fee, to what it applies to, or to how it is treated on refunds or disputes is a material change: it will be published as a new version of these terms and will require your explicit acceptance before it applies to your Organization.
4. Test mode and going live
Nothing moves real money until Stripe has enabled your account to accept payments.
5. Disconnecting
You may disconnect Stripe at any time. Disconnecting stops new payments through the Service's checkout (a checkout a customer has already started may still complete); your Stripe account, its balance and its history remain yours, and historical records of past payments remain in your Organization's data. Disconnecting does not cancel obligations that already exist between you and your customers or between you and Stripe.
