# Payment & Connected Account Terms

**Schedule B to the Scene Lead Master Services Agreement · Pilot Version 1.3.0**

These terms are Schedule B to the Pilot Terms of Service, also called the Scene Lead Master Services Agreement (the "Agreement"), between your Studio and Cyriac Labs, LLC ("we", "us"), which operates
Scene Lead. Capitalised terms not defined here have the meanings in the Agreement. **This Schedule controls over the
rest of the Agreement for fees, payments, refunds, disputes and the platform fee.**

## 0. Who accepts this Schedule, and when it applies

- This Schedule applies to a Studio only when **that Studio's owner accepts it for that Studio** — when connecting Stripe, or later under Payments → Card payments in the Service. An acceptance by any other person, or an acceptance of the core terms or any other schedule, does not accept this Schedule for a Studio.
- The owner who accepts it confirms they are authorized to accept it on the Studio's behalf and to bind the Studio to it.
- It applies to the Studio from the moment it is accepted for that Studio. **Until then, the version of these terms previously accepted for the Studio continues to apply in full, including its platform fee rate.** Every payment keeps the rate recorded with it when it was made.
- A Studio that has never accepted any version cannot connect Stripe for live payments through the Service until this version is accepted for it.
- Earlier versions of these terms, including Pilot Version 1.1.0, are earlier versions of this Schedule.

**What changed from Pilot Version 1.1.0.** Version 1.1.0 set the platform fee at 2% of payments your customers make
through the Service's Stripe Connect checkout. This version sets it at **3%** (section 3) and adds sections 0, 6 and 7;
nothing else about what the fee applies to, how it is collected, or how refunds and disputes treat it changes. Because a
fee increase is a material change, it applies to a Studio only after its owner accepts this version for that Studio.

## 1. Your payment account is yours

- Payments from the People You Serve are processed on **your Studio's own Stripe account**, connected to the Service through Stripe Connect. You complete Stripe's onboarding with Stripe directly. **Your Studio is the merchant of record** for its sales, and we do not hold your funds.
- Your agreement with Stripe governs processing, payouts, reserves, account reviews, account standing and Stripe's own fees. We are not a party to that agreement and cannot override Stripe's decisions.

## 2. Your responsibilities for your sales

- **Your offerings**: what you sell, its price, your policies and your obligations to your customers are yours, including any disclosures the law requires you to give them.
- **Refunds**: your refund policy, your decision, your funds. Section 3 says how a refund affects the platform fee.
- **Chargebacks, disputes and fraud**: yours to respond to and fund, under Stripe's rules, including any fraud losses and Stripe dispute fees.
- **Taxes**: collecting and remitting any tax on your sales is your responsibility. Stripe's tax reporting applies to your account under its own rules.

## 3. The platform fee

- **3% of each successful payment.** On each successful payment your customers make through the Service's Stripe Connect checkout (for example a class or program registration, or an event ticket), we receive a platform fee of **3% of the amount charged** — the amount after any discount. The fee is rounded to the nearest cent (half a cent rounds up) and is always less than the payment. A fee that rounds to zero is not charged.
- **How it is collected.** Stripe deducts the fee from that payment as an application fee and pays it to us; the rest of the payment, less Stripe's own fees, goes to your Stripe account. The fee comes out of your proceeds: it is **not added to the price your customer pays**.
- **Stripe's fees are separate.** Stripe charges you its own processing fees under your agreement with Stripe. They are not part of the platform fee, and we receive none of them.
- **The rate is fixed per payment.** The rate applied to a payment is recorded with that payment and does not change afterwards.
- **What the fee does not apply to.** The platform fee applies only to payments made through the Service's Stripe Connect checkout. It does not apply to payments you record in the Service that were taken outside it (for example cash, check, bank transfer or another ticketing service), to registrations that are free, waived or complimentary, to places paid for with credits or a pass, or to charges you create yourself in your Stripe dashboard.
- **Refunds.** When you refund a payment through the Service, in full or in part, the platform fee on the refunded portion is returned to you with the refund: all of it for a full refund, and a proportional share, as Stripe calculates it, for a partial refund. A refund you issue directly in your Stripe dashboard does not return any of the platform fee.
- **Paying twice.** If a customer completes checkout twice for the same order, each payment carries its own platform fee. Only the first payment can be refunded through the Service; refunding the other in your Stripe dashboard does not return its platform fee.
- **Disputes.** If a customer disputes a payment with their bank (a chargeback), the platform fee on that payment is not returned, whatever the outcome of the dispute. The disputed amount and Stripe's dispute fees are settled between you and Stripe under your agreement with Stripe. A payment cannot be refunded through the Service while a dispute on it is open, or after the dispute is lost.

## 4. Test mode and going live

Nothing moves real money until Stripe has enabled your account to accept payments.

## 5. Disconnecting

You may disconnect Stripe at any time, without any charge from us. Disconnecting stops new payments through the
Service's checkout (a checkout a customer has already started may still complete); your Stripe account, its balance
and its history remain yours, and historical records of past payments remain in your Studio's data. Disconnecting
does not cancel obligations that already exist between you and your customers or between you and Stripe.

## 6. Changes to this Schedule

- Any change to the platform fee, to what it applies to, or to how it is treated on refunds or disputes is a material change. It is published as a new version of this Schedule, shown to your Studio's owner in the Service, and applies to your Studio only after your Studio's owner accepts it for your Studio.
- If your Studio's owner does not accept a new version for your Studio, the version previously accepted for your Studio continues to apply. A new version of this Schedule is never part of a personal review under Section 16.2 of the Agreement: no user is asked to accept it personally or is paused for not accepting it.

## 7. Responsibility and liability

The Agreement's disclaimers, limitation of liability and indemnity apply to this Schedule. In particular, we are not
responsible for Stripe's processing, payouts, holds, reserves, account decisions or outages, or for losses from fraud,
chargebacks or refunds, except to the extent caused by our breach of this Schedule; and your indemnity in the Agreement
covers claims about your sales, prices, refunds, chargebacks, disputes and taxes.
